ARTICLE 4: GENERAL ASSEMBLY – AUTHORITY AND OPERATION
4.1 Sovereignty
The General Assembly is the sovereign body of the Chapter that includes all its members.
4.2 Annual Meeting
The General Assembly shall hold its annual meeting at the end of the calendar year, during the period 1 December to 31 January (both days inclusive).
4.3 Extraordinary Meetings
The General Assembly may be called for a meeting for extraordinary purposes as deemed necessary by ISOC or the Board of Directors.
4.4 Attendance
All members can attend General Assembly meetings.
4.5 Voting Rights
Only Active members may:
- Vote
- Raise a motion, resolution, or objection during the course of a General Assembly Meeting.
4.6 Motion, Resolution, or Objection
For a motion, resolution, or objection to be considered:
- It must be supported by at least one additional Active member for consideration and registration by the General Assembly.
- If required, it will be subject to voting.
4.7 Authority of the General Assembly (Simple Majority)
With a simple majority, the General Assembly shall have the authority to:
a. Confirm Board of Directors members.
b. Confirm Permanent Officers.
c. Confirm Honorary members.
d. Confirm Lifetime members.
e. Confirm annual membership dues.
4.8 Authority of the General Assembly (70% Majority)
With a 70% majority, the General Assembly shall have the authority to:
a. Confirm, add, delete, or modify any part of these Bylaws (only during Annual General Assembly Meetings).
- Exception: The first General Assembly meeting shall also be treated as an Annual General Assembly Meeting.
b. Prosecute, trial, or impeach Board of Directors members.
c. Prosecute, trial, or impeach Officers.
d. Revoke the membership of any member due to unbecoming character.
e. Dissolve the Chapter.
